Senior Legal Counsel (Commercial & Technology)

Amber Bucharest is looking for a Senior Legal Counsel to handle complex international commercial and technology related legal issues.
About the Role:

Amber Bucharest is looking for a Senior Legal Counsel to handle complex international commercial and technology related legal issues. Amber is headquartered in Bucharest and has operations in Europe, USA, Canada and Latin America, and is one of the world’s leading game development agencies, working with some of the largest names in interactive entertainment, such as Disney, Amazon, Epic Games, NBC Universal and many others. The position will report to the General Counsel (Head of Legal). 

Experience / What You Will Have:
  • 12-15 years of experience, preferably both at a top business law firm and in-house with a software international company, dealing with diverse multinational issues, with a focus on business and technology transactions that included: 
  • drafting, negotiating, reviewing a variety of commercial contracts and B2B technology transactions, including software development, licensing, distribution, publishing, marketing, services agreements, independent contractor and subcontractor agreements, supplier/vendor agreements
  • preparing, reviewing and negotiating a wide variety of contractual structures, such as Work For Hire Agreements, Master Services Agreements, Statements of Work, Non-Disclosure Agreements, Invention and IP Rights Assignments  
  • handling international business transactions, including M&A deals, joint ventures, partnerships, strategic alliances, inter-company arrangements
  • handling IP related transactions and assistance with protection of IP rights 
  • expertise in data protection laws, including experience working with GDPR and drafting, reviewing and negotiating data processing agreements, and prepare and implement data protection policies and procedures 
  • legal research in various legal areas and preparing and updating company’s policies and procedures from a regulatory & compliance perspective
  • working as part of a team, liaising with different stakeholders, providing cross-functional advice to different departments and teams, and reporting to management
  • counseling experience in an international business environment, operating in the national law environments of various countries, with a broad legal knowledge across different legal area
Role / What You Will Do:
  • Technology Transactions: Prepare, review and negotiate a wide variety of international complex and sophisticated commercial contracts, including software development agreements, software products licensing, marketing and publishing agreements, master services agreements, statements of work, partner agreements, contractor and subcontractor agreements, NDAs, term sheets, supplier/vendor agreements  
  • Business Transactions: Handle various cross-border business transactions, including M&A deals, joint ventures, partnerships, inter-company arrangements, strategic alliances
  • IP Law: Assist with IP related transactions and protection of IP rights in all jurisdictions where Amber is present, including trademark portfolio, trademark prosecution (USPTO, EUIPO), copyright, know-how, cease and desist letters
  • Data Protection: Develop and maintain subject matter expertise in privacy, data use and protection laws, and advise on and handle data privacy law matters, including with regard to GDPR, data protection agreements (DPAs), data protection policies and procedures
  • Regulatory & Compliance: Provide expert legal advice on various regulations, including employment law, taxation, non-profit, corporate governance. Provide support in the development of regulatory strategy, handle regulatory matters and develop compliance policies and procedures, offer ongoing assistance and advice on compliance and regulatory topics
  • Legal Research: Research and analyze industry-specific regulations to assess impact on business, anticipate issues, estimate risks, identify proactive solutions that will eliminate or mitigate risks. Advise on ongoing requests for counsel, and assist in preparation and implementation of compliance measures
  • Cross-Functional Support: Provide cross-functional legal support to the various departments and teams in the company. Develop, motivate and drive performance from the more junior Legal team members. Support the management and operations teams with ongoing and special initiatives
Professional Requirements:
  • Bachelor of Laws (LL.B.) / Juris Doctor (J.D.) from a top law school (international education and/or postgraduate academic degree a plus) 
  • Admitted to practice law in Bucharest, Romania (Bucharest Bar) 
Desired skills:
  • English language proficiency, including legal verbiage, both written and spoken
  • Excellent time management skills and ability to multi-task and prioritize work in a fast-paced environment 
  • Strong organizational and planning skills with the ability to coordinate simultaneous projects to ensure they all are completed in a timely and accurate manner
  • Ability to effectively deliver sound and clear legal advice in a business setting and to non-legal persons
  • Ability to work across different sectors, departments and teams, and report to senior management
  • High degree of professional ethics and integrity, business and financial acumen
  • Very strong analytical, judgment and decision making skills
  • Excellent interpersonal skills and written and verbal communication skills
  • Team player, result and detail oriented, problem solver, self-motivated
  • Ability to handle both routine and complex legal matters
  • Proficiency in MS Office
